Professional Overview

Brandon Fleischman is an accomplished attorney and financial services executive with more than two decades of experience spanning legal, operational, and financial leadership across private equity, venture capital, and complex corporate transactions. He currently serves as General Counsel of Anzu Partners—following Anzu’s 2025 acquisition of Longview Innovation Corp.—where he leads legal strategy, fund operations, general counsel support for portfolio companies, and integration efforts across a multi-fund alternative investment platform.

A founding executive of an alternative asset manager, Brandon played a central role in raising and deploying more than $160 million through 100+ venture capital transactions. He built and scaled the platform’s legal, operational, and compliance infrastructure, structured multiple investment vehicles, and oversaw key areas including fund formation, SEC registration, investor reporting, and corporate governance.
Prior to joining Lex Generalis, Brandon practiced at Morgan Lewis & Bockius LLP and Vedder Price P.C., advising private equity sponsors, financial institutions, ultra-high net-worth individuals, and corporates on sophisticated domestic and cross-border financings, restructurings, and transactions. He began his career at KPMG in the Financial Institutions Group, auditing major U.S. and international banks.
Brandon’s combined background as a practicing attorney, former CPA, COO, and operating executive allows him to deliver practical, business-aligned legal counsel to funds, investors, and portfolio companies across their entire lifecycle.

Practice Focus

Brandon’s practice centers on corporate, transactional, and investment management matters, including:
  • Fund Formation & Investment Management: structuring venture capital funds, drafting and negotiating partnership and operating agreements, side letters, co-investment structures, and governance frameworks.
  • Venture Capital & Private Equity Transactions: advising on SAFEs, convertible notes, preferred stock financings, secondary transactions, restructuring scenarios, and portfolio company governance.
  • Emerging Growth and Growth-Stage Companies: supporting various commercial agreements (e.g., office leases, equipment leases, and licenses), employment and HR matters, internal policies and investor communications.
  • Corporate Counsel & Strategic Advisory: guiding executives and boards on fiduciary duties, governance, operational risk, regulatory compliance, and strategic planning.
  • Complex Financings & Restructurings: representing lenders, sponsors, and institutional investors in secured/unsecured financings, acquisition finance, workouts, and cross-border transactions.
  • Operational Infrastructure & Regulatory Compliance: designing and implementing systems for SEC compliance, fund administration, investor reporting, and multi-entity structuring.
